TERMS OF USE

Welcome to NetCollex LTD., a secure and flexible online payment platform operated by NetCollex LTD. (“we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of Secure MT’s services, including card payment processing and digital wallets (e.g. Apple Pay, Google Pay). By registering for or using NetCollex LTD., you agree to be bound by these Terms.

By accessing or using NetCollex, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. These Terms form a legally binding agreement between you and Secure MT Ltd.

If you do not agree to these Terms, you must not use the service.

About NetCollex

NetCollex is a payment technology platform designed for businesses, offering:

• Card payment processing (Visa, Mastercard, American Express and others) via our payment processing partners
• Digital wallet support (Apple Pay, Google Pay)
• Secure transmission of payment data to payment processors
• Real-time transaction monitoring and fraud checks

Our platform enables merchants to accept and manage online payments through an integrated, secure gateway.

2. Eligibility

To use NetCollex, you must:

• Be a legally registered business entity
• Be located in the United Kingdom or another approved territory
• Provide accurate onboarding documentation (e.g. KYC/KYB)

We reserve the right to refuse service to any applicant that does not meet our risk, compliance, or legal requirements.

3. Account Creation & Access

You must create a business account to access NetCollex services. You agree to:

• Maintain accurate business, banking, and contact details
• Keep your login credentials, API keys, and payment tokens secure
• Notify us immediately of any unauthorised access or suspected breach

You are fully responsible for all activity under your account unless you notify us of unauthorised use.

4. Regulatory Compliance

NetCollex is operated in compliance with applicable UK financial regulations, including:

• Financial Conduct Authority (FCA) standards
• UK Payment Services Regulations 2017

Merchants must not use NetCollex for illegal, prohibited, or unlicensed activities, including but not limited to:

• Unlicensed gambling or adult content
• Counterfeit goods
• Money laundering
• Unlicensed pharmaceuticals

We may request enhanced due diligence for higher-risk industries.

5. Payment Processing

5.1 Supported Methods

NetCollex supports:

• Credit and debit cards
• Apple Pay and Google Pay

5.2 Transaction Approval

Transactions may be declined where they are flagged as suspicious, exceed limits, or violate our Acceptable Use Policy. Final transaction authorisation is determined by the relevant acquiring bank, issuing bank, and/or card scheme.

5.3 Settlement & Payouts

Funds from successful transactions are settled to your nominated bank account by our payment processing partners, typically within 1 to 5 business days depending on method and risk level. Settlement schedules may be adjusted based on risk review, transaction volume, or the policies of the acquiring bank.

6. Fees & Billing

NetCollex charges fees per transaction or based on monthly usage, as outlined in your service agreement. You agree to:

• Pay all applicable processing, platform, and service fees
• Raise billing disputes within 14 days of the statement issue

Late or disputed payments may result in suspension or account review.

7. Security & Data Protection

We use:

• End-to-end encryption
• PCI DSS-compliant systems
• Secure tokenisation
• Real-time fraud detection and authentication

Card details are not stored on NetCollex’s servers and are transmitted securely to the payment processor.

You must also take appropriate security steps, such as:

• Implementing HTTPS on your website
• Complying with PCI DSS if storing customer card data
• Not storing cardholder data unless explicitly approved

8. Data Collection & Privacy

We collect and process:

• Transaction data (amount, timestamp, method)
• Customer metadata (IP address, device/browser info)
• Business information for compliance

All data is handled in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Full details are provided in our Privacy Policy.

You agree to inform your customers of the payment data processing in your own Privacy Policy.

9. Chargebacks & Disputes

If a customer disputes a transaction, you may be responsible for chargebacks, penalties, or reversals as determined by the acquiring bank and relevant card scheme.

You agree to:

• Respond to chargeback notices within the required timeframe
• Provide accurate supporting documentation
• Accept responsibility for unresolved disputes or fraudulent transactions

Chargeback amounts, penalties, or related fees may be deducted from your settlement funds by the acquiring bank.

10. Service Limitations & Availability

NetCollex is provided “as is” and “as available.” We do not guarantee uninterrupted service and are not liable for delays or outages caused by:

• Banking networks
• Card scheme outages
• Third-party wallet systems (e.g. Apple or Google Pay)
• Internet service providers
• Scheduled maintenance or force majeure

We will provide notice of scheduled downtime when feasible.

11. Suspension & Termination

We may suspend or terminate your access if:

• You breach these Terms
• You engage in fraudulent or prohibited activities
• You violate payment network rules
• You fail to comply with our onboarding or KYC/KYB requests

Upon termination, any pending settlement funds may be subject to a hold period by the acquiring bank to cover potential chargebacks or investigations.

12. Intellectual Property

Copyright, trademark, and intellectual property laws protect all NetCollex software, branding, and APIs. You may not:

• Copy, reverse engineer, or resell our services
• Use Secure MT’s branding without permission

13. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, special, or consequential losses
• We are not responsible for your customers’ failure to complete payments
• Our liability is limited to the total fees paid by you in the 3 months before the claim

14. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, unless otherwise required by applicable law.
